1. GENERAL
Welcome to Rising Review. These Terms of Service (the "Terms") are a contract between Rising Review LLC ("Rising Review," "we," "our," or "us") and you ("you" or "your") and govern your access to and use of risingreview.com, risingreviewreportcard.com, and the reputation management, review marketing, content, and related services we offer (collectively, the "Services"), unless we have a separate signed agreement with you that says otherwise.
In addition to these Terms, your use of the Services is governed by our Privacy Policy and any other policies we publish from time to time (collectively, the "Policies"). Please read these Terms and our Policies carefully.
BY ACCESSING OUR WEBSITE OR USING THE SERVICES, YOU CONFIRM THAT (1) YOU HAVE READ AND UNDERSTOOD THESE TERMS, (2) YOU AGREE TO BE BOUND BY THEM, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON YOUR OWN BEHALF OR, IF APPLICABLE, ON BEHALF OF THE BUSINESS YOU REPRESENT. IF YOU LACK SUCH AUTHORITY, YOU PERSONALLY ACCEPT THE OBLIGATIONS SET OUT HERE.
If you do not agree to these Terms, please do not use our website or Services.
In plain English: These are the rules for using Rising Review's website, our free tools, and our paid services. If you sign up or use our site, you're agreeing to these rules. Only agree if you're authorized to — for yourself or, if you're signing up on behalf of a company, on that company's behalf.
2. OUR SERVICES
A. What We Offer
Rising Review provides online reputation management and review marketing services for small businesses, which may include, without limitation:
- Membership Services — access to our tiered membership programs (currently Founders, Silver, Gold, and Platinum), each offering a different scope of tools, templates, content, and support;
- Reputation Audits — including our free diagnostic tool at risingreviewreportcard.com, which provides an automated assessment of a business's online review presence ("Report Card");
- Content & Copywriting Services — including review-response drafting, review-request campaigns, keyword-optimized captions, blog content, and marketing copy;
- Strategy & Consulting Services — including reputation audits, revenue-impact analysis, and reviews-to-revenue campaign planning;
- Video Production Services — provided under the Rising Review Video banner, including media packages and promotional video content; and
- Any other products or features we may add to the Services from time to time.
We may update, expand, limit, or discontinue any part of the Services at any time. We are not obligated to provide refunds or compensation for discontinued features except as required by law or as otherwise stated in Section 8 below.
In plain English: We help small businesses get, manage, and market their online reviews — through memberships, a free audit tool, done-for-you content, consulting, and video. We may change what's included in our Services over time.
B. Permitted Use
You may use the Services only for your own lawful business purposes, or on behalf of a client you are authorized to represent (for example, if you are a marketing agency, consultant, or business owner using our tools for your own company). You are responsible for complying with all applicable laws in your use of the Services, including laws governing advertising, consumer reviews, and data privacy.
In plain English: Use our Services for legitimate business purposes and follow the law while doing it.
C. No Guarantee of Results
Reputation and review marketing outcomes depend on many factors outside our control, including customer behavior, platform algorithms (such as Google, Yelp, or Facebook), and market conditions. We do not guarantee any specific number of reviews, star rating, search ranking, or revenue outcome from use of the Services.
In plain English: We'll do great work, but we can't promise exact results — reviews and rankings depend on things beyond our control.
3. CHANGES TO THESE TERMS
We may update these Terms from time to time. If we make a material change, we will post the updated Terms on our website with a new "Last Updated" date and, where required by law, provide additional notice (such as by email). Your continued use of the Services after an update takes effect means you accept the revised Terms. If you do not agree to a change, your option is to stop using the Services.
In plain English: We may update these Terms. Keep using our Services after an update, and you're agreeing to the new version.
4. OUR CONTENT AND INTELLECTUAL PROPERTY
The Rising Review name, logo, website, Report Card tool, templates, frameworks (including the Reviews-to-Revenue™ QuickStart Checklist and the 30-Day Reviews-to-Revenue Blueprint™), and all other original materials we make available (collectively, "Our Content") are owned by Rising Review LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use Our Content solely as intended through the Services and, if applicable, in accordance with your membership tier. You may not copy, resell, redistribute, or create derivative works from Our Content without our prior written consent. Any unauthorized use may result in suspension or termination of your access to the Services.
In plain English: Our templates, tools, and branded frameworks are ours. You can use them as part of your membership or service, but you can't resell or repackage them as your own.
5. YOUR CONTENT
A. Ownership
If you submit content to us — such as business information, existing reviews, testimonials, photos, video footage, or other materials for us to use in creating deliverables ("Your Content") — you retain ownership of Your Content. We do not claim ownership over it.
B. License to Us
By submitting Your Content, you grant Rising Review a non-exclusive, royalty-free license to use, reproduce, and adapt Your Content solely as needed to provide the Services to you — for example, to draft review responses, produce marketing copy, or create video deliverables on your behalf. This license ends when the applicable engagement concludes, except that we may retain copies for our records as required by law or standard business recordkeeping.
C. Your Responsibility
You represent that you have the right to share Your Content with us and that it does not infringe any third party's rights or violate any law. You are responsible for the accuracy of any information you provide, including information used in review responses, testimonials, or marketing materials created on your behalf.
D. Deliverable Ownership
Unless otherwise agreed in writing, once a deliverable (such as a review response, blog post, or video) has been paid for in full, you own the rights to use that specific deliverable for your business. We retain the right to showcase completed work in our own portfolio and marketing materials unless you request otherwise in writing.
In plain English: You own what you give us. We own our templates and tools. Once you've paid for a finished deliverable, it's yours to use — and we may show it off as a sample of our work unless you ask us not to.
E. Testimonials & Feedback
If you provide us with a testimonial, review, or feedback about Rising Review, you authorize us to use it — including your name and business name — in our marketing, on our website, and in promotional materials, unless you tell us otherwise in writing.
6. ACCOUNTS AND MEMBERSHIPS
A. Registration
To access certain Services, such as a paid membership tier, you may need to create an account and provide accurate information, including your name, business name, email address, and payment details. You agree to keep this information current and to keep your login credentials confidential. You are responsible for all activity that occurs under your account.
B. Membership Tiers
We offer multiple membership tiers (currently Founders, Silver, Gold, and Platinum), each with different features, deliverables, and pricing, as described on our website at the time of purchase. We may modify the features included in any tier going forward, but we will not retroactively remove features you've already paid for during your current billing period.
In plain English: Sign up with accurate info and keep your password safe. Membership tiers each come with their own set of features — check the current tier descriptions on our site.
7. FEES, PAYMENT, AND CANCELLATION
A. Fees
You agree to pay all fees associated with the membership tier, service package, or deliverable you purchase, as described at the time of purchase. Fees are charged using the payment method you provide.
B. Recurring Billing
Membership subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us at business@risingreview.com; cancellation will take effect at the end of your current billing period.
C. Refunds
Refund eligibility, if any, will be stated at the time of purchase or in your service agreement. Custom deliverables, one-time project fees, and completed work are generally non-refundable once work has begun, except as required by law.
D. Price Changes
We may change our pricing at any time. If a price increase affects an active membership, we will provide reasonable advance notice before the change takes effect.
E. Taxes
You are responsible for any applicable taxes related to your purchase of the Services.
In plain English: Memberships renew automatically — cancel anytime before your renewal date. Custom project work is generally non-refundable once we've started. We'll give you notice before raising prices on an active membership.
8. THE FREE REPORT CARD TOOL
Our free reputation audit tool at risingreviewreportcard.com provides an automated, informational assessment based on publicly available review data. It is provided for general informational purposes only and does not constitute professional, legal, or financial advice. Results may not be fully accurate or current, and we make no guarantee regarding the completeness of the data analyzed. We may use information you submit through the Report Card tool (such as your business name and contact information) to follow up with you about our paid Services, consistent with our Privacy Policy.
In plain English: The free Report Card gives you a quick, automated snapshot — not a certified audit. We may reach out afterward about our paid services.
9. ACCEPTABLE USE
You agree not to use the Services to:
- Submit, request, or facilitate fake, incentivized-without-disclosure, or otherwise deceptive reviews, in violation of FTC guidance or applicable platform policies;
- Impersonate any person or business, or misrepresent your affiliation with any person or business;
- Upload or transmit content that is unlawful, defamatory, obscene, or infringes another party's intellectual property or privacy rights;
- Interfere with the security or proper functioning of our website or tools; or
- Use our Content or deliverables for any purpose beyond what these Terms and your service agreement permit.
We reserve the right to suspend or terminate access to the Services for anyone who violates this section.
In plain English: Don't use our tools to fake reviews, impersonate anyone, or break the law. We take review authenticity seriously — it's core to what we do.
10. THIRD-PARTY PLATFORMS AND SERVICES
Our Services may reference, link to, or integrate with third-party platforms (such as Google Business Profile, Yelp, Facebook, or payment processors). We do not control these platforms and are not responsible for their availability, policies, or changes to their algorithms or review systems. Your use of any third-party platform is governed by that platform's own terms.
In plain English: We work alongside platforms like Google and Yelp, but we don't control them and aren't responsible for what they do.
11. DISCLAIMER OF WARRANTIES
THE SERVICES AND OUR WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC REVIEW, RATING, OR REVENUE OUTCOME WILL RESULT FROM YOUR USE OF THE SERVICES.
In plain English: We provide our Services as-is and can't legally promise perfection or guaranteed results.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, RISING REVIEW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
In plain English: If something goes wrong, our liability is capped at what you've paid us recently — we won't be on the hook for lost profits or indirect damages.
13. INDEMNIFICATION
You agree to indemnify and hold Rising Review LLC, its owners, employees, and contractors harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your violation of these Terms; or (c) your violation of any law or third party's rights in connection with your use of the Services.
In plain English: If your actions cause a legal claim against us, you agree to cover the resulting costs.
14. TERMINATION
We may suspend or terminate your access to the Services at our discretion, including for non-payment, violation of these Terms, or extended inactivity. You may stop using the Services or cancel your membership at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, payment obligations already incurred, disclaimers, and limitation of liability) will continue to apply after termination.
In plain English: Either of us can end the relationship. Some parts of these Terms (like payment obligations and liability limits) stick around even after that.
15. GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in St. Louis, Missouri. Before filing a claim, both parties agree to attempt in good faith to resolve the dispute informally by contacting business@risingreview.com.
In plain English: These Terms follow Missouri law, and disputes are handled in St. Louis courts — but let's try to work it out directly first.
16. MISCELLANEOUS
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with our Policies and any signed service agreement, make up the entire agreement between you and Rising Review LLC regarding the Services. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Rising Review LLC.
